By registering an account, accessing our dashboard, configuring API keys, or using any automated publishing feature, you confirm that you have read, understood, and agreed to be bound by these Terms.

If you are entering into this Agreement on behalf of a corporation, limited liability company, agency, or other legal entity, you represent and warrant that you possess the full legal authority to bind that entity. You further represent that you are at least 18 years of age and legally competent to enter into enforceable commercial agreements.

2. Description of the Platform & Service Scope

AuthorityWriter provides an autonomous search engine optimization software-as-a-service (SaaS) platform designed to streamline editorial production and organic search velocity. Key components of the Service include:

• • Autonomous Content Engine: Synthesizing uncapped, comprehensive articles with comparison tables, FAQs, and structured JSON-LD schema blocks.
• • Internal Linking Mesh: Parsing live XML sitemaps to naturally weave contextual internal links without manual intervention.

3. Account Registration, Credentials & Security

To access the Service, you must maintain a valid, authenticated user account. You agree to provide accurate, current, and complete information during registration and to update such details promptly if changes occur.

You are solely responsible for safeguarding your login credentials, API secrets, and CMS application passwords. You accept full liability for all activities, publication actions, and credit consumption that occur under your account. 5. Absolute Content Ownership & Intellectual Property

AuthorityWriter Intellectual Property: AuthorityWriter and its licensors retain all right, title, and interest in and to the Platform itself, including software architecture, UI design tokens, keyword difficulty algorithms, cadence shaping heuristics, database structures, documentation, and registered trademarks. Nothing in this Agreement grants you any right to copy, distribute, or reverse-engineer the underlying software or proprietary methodologies.

6. Acceptable Use Policy & Publisher Responsibilities

You agree to use the Service in full compliance with all applicable local, national, and international laws, intellectual property rights, and fair publishing practices. You explicitly agree NOT to use AuthorityWriter to:

7. Third-Party Integrations, APIs & External Guidelines

The Service interfaces with external third-party platforms (including WordPress, Shopify, Webflow, Wix, and Google Search Console). By connecting third-party platforms to AuthorityWriter:

• • You warrant that you possess the necessary administrative rights and permissions to authorize AuthorityWriter to publish content, update media collections, and inspect sitemaps on the target website.

8. Autonomous Publishing vs. Draft Staging Workflows

AuthorityWriter offers flexible operational control over content deployment:

You acknowledge and agree that when operating in Auto-Publish Mode, you accept full publisher responsibility for all content published to your live domain. You maintain the right to switch modes at any time in your website configuration settings.

9. Service Availability, Uptime Commitments & Maintenance

We engineer AuthorityWriter for 24/7 autonomous production reliability, maintaining a targeted 99.9% platform availability service level objective.

From time to time, scheduled maintenance may be required to upgrade server clusters, update algorithmic models, or enhance database performance. We endeavor to execute maintenance during low-traffic windows and provide prior notice when extended downtime is anticipated. Our technical engineering support team maintains a standard sub-2 hour SLA response time for critical platform tickets.

10. Cancellation Policy & 7-Day Setup Guarantee

We believe in unencumbered customer freedom. You may cancel any website subscription at any time with a single click inside your billing settings:

11. Disclaimer of Warranties ("As Is")

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE, ALGORITHMIC OUTPUT, KEYWORD HARVESTING METRICS, AND CONTENT GENERATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Search Engine Ranking Disclaimer: AuthorityWriter uses sophisticated mathematical calculations to identify striking-distance keywords with winnable difficulty thresholds (KD ≤ DR). However, organic search engine rankings, indexing speeds, and traffic volumes are subject to external algorithms beyond our control (such as Google core updates, competitor link building, and site-level technical factors). AuthorityWriter does NOT guarantee specific search positions, Page 1 rankings, or financial earnings resulting from content published through the Service.

12. Limitation of Liability & Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTHORITYWRITER, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS REPUTATION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.

UNDER NO CIRCUMSTANCES SHALL AUTHORITYWRITER'S AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO AUTHORITYWRITER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Mutual Indemnification

User Indemnification: You agree to defend, indemnify, and hold harmless AuthorityWriter, its officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, or legal costs arising out of: (a) your breach of these Terms or the Acceptable Use Policy; (b) any content published to your live domains; or (c) your violation of applicable laws or third-party rights.

AuthorityWriter Indemnification: AuthorityWriter agrees to defend and indemnify you against third-party claims alleging that your authorized use of the Platform software (excluding user-directed content outputs) directly infringes any valid United States copyright or registered patent.

14. Copyright Protection & DMCA Takedown Procedure

AuthorityWriter respects intellectual property rights and adheres to the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512). If you believe that material hosted or transmitted through our platform infringes your copyright, you may submit a formal notification to our Designated Copyright Agent:

15. Dispute Resolution, Arbitration & Governing Law

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Informal Dispute Resolution: Prior to filing any formal legal proceeding, both parties agree to attempt to resolve disputes in good faith through informal negotiation by sending written notice to [email protected] for a minimum of 30 days.

Binding Arbitration & Class Action Waiver: If an informal resolution cannot be achieved, any dispute arising out of or relating to this Agreement shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. YOU AND AUTHORITYWRITER AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. General Provisions & Entire Agreement

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to reflect the parties' original intent, and all remaining provisions shall remain in full force and effect.

Force Majeure: Neither party shall be liable for failure or delay in performance resulting from causes beyond reasonable control, including acts of God, widespread internet or cloud provider outages, civil unrest, or governmental restrictions.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Orders, constitute the entire agreement between you and AuthorityWriter concerning your use of the Platform, superseding all prior proposals or representations.
